2. About Us and Our Services

Pineda Method Pte. Ltd. is a Singapore-incorporated online dance education and mentorship company. The Company develops and delivers proprietary training programs under the brand “The Pineda Method,” and is building a portfolio of proprietary intellectual property in dance education and performance methodology.

Phase 1 — Education and IP Development (current): The Company currently generates revenue through online dance education, mentorship, and training programs delivered under the brand “The Pineda Method.” These programs are taught by Oliver Pineda, a 10-time Salsa World Champion, and are structured around the Company’s proprietary Pineda Method framework — a first-principles, structured approach to salsa mastery developed by Oliver Pineda over more than two decades of competitive and instructional experience. The delivery of these programs serves a dual purpose: it generates revenue and, critically, it deepens the Company’s understanding of the market, the specific problems dancers face, and the most effective pedagogical approaches to solving them. This market knowledge and instructional data forms the foundation of the Company’s intellectual property.

Phase 2 — Software Product Development (in development): The Company’s long-term business strategy is to leverage the proprietary methodology, frameworks, and market insights generated through Phase 1 to develop a software product. The intellectual property created through the education business — including the Pineda Method Development Framework, the 5-Phase Mastery System, assessment methodologies, and the structured learning progressions — constitutes the core asset base from which this software product will be built. The Company’s registered primary business activity is Training Courses for Music, Dancing, Art, Speech and Drama (SSIC 85408), reflecting its current revenue operations. The Company’s secondary registered activity is Development of Software and Applications (SSIC 62011), reflecting the long-term strategic intent to develop a software product from the proprietary IP generated through its education business.

Our Programs are delivered primarily online via video conferencing, on-demand digital platforms, and online community environments to students worldwide. References in these Terms to our “Services” or “Programs” refer to the educational and mentorship products currently offered, as described in Section 6.

3. Eligibility

To use our Website or purchase our Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher);
  • Have the legal capacity to enter into a binding contract;
  • Not be prohibited from using our Services under the laws of your jurisdiction;
  • Provide accurate, truthful, and complete information during registration and enrolment.

By purchasing a Program, you represent and warrant that you meet all of the above eligibility requirements. If you are purchasing on behalf of another person, you represent that you have the authority to do so and that the person meets these eligibility requirements.

4. Acceptance of Terms

By accessing our Website, submitting an application, making a payment, or participating in any Program, you agree to be legally bound by these Terms and Conditions, together with our Privacy Policy and Refund Policy. These documents constitute the entire agreement between you and the Company in relation to your use of our Services.

If you do not agree with any part of these Terms, you must immediately cease using our Website and must not purchase or continue to use any Program.

5. Account Registration

Access to certain Programs requires you to create an account on our platform(s) or on third-party platforms we use (such as Skool or Circle). When creating an account, you agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain and promptly update your information to keep it accurate;
  • Keep your login credentials confidential and not share them with any third party;
  • Be responsible for all activity that occurs under your account;
  • Notify us immediately at [email protected] if you suspect any unauthorised access to your account.

We reserve the right to terminate accounts, refuse service, or remove content at our discretion.

6. Our Programs and Services

6.1 Description of Programs

We offer the following Programs, subject to availability and our application or enrolment process:

  • 1:1 Mentorship (3-Month and 6-Month): Intensive private mentorship with Oliver Pineda, including regular one-on-one video sessions, personalised feedback, video reviews, and direct messaging support throughout the program duration.
  • Pineda Method Academy: A structured group mentorship program delivered to small cohorts, including live group sessions, on-demand course content, personalised feedback, and community access for a fixed six-month period.
  • Skool Community: A monthly subscription providing access to our online community, structured on-demand course library, and self-directed learning pathway.
  • Circle Membership: A one-time payment providing lifetime access to designated community and content features on the Circle platform.
  • Standalone Digital Courses: Individual on-demand courses available for individual purchase.

6.2 Program Variations

We reserve the right to modify the structure, format, content, and delivery method of our Programs at any time, including but not limited to changing session frequencies, platform providers, or content structure. We will notify enrolled clients of material changes. Minor changes do not entitle you to a refund.

6.3 Program Delivery

Our Programs are delivered primarily online via video conferencing (e.g., Zoom), online platforms (Skool, Circle, or similar), and email. You are responsible for ensuring you have a stable internet connection and compatible device. We are not responsible for technical difficulties on your end.

6.4 Cohort Scheduling

For cohort-based programs (Academy), sessions are scheduled in AEST (Australian Eastern Standard Time). Specific session times will be communicated to enrolled clients. We will make reasonable efforts to offer times that accommodate international students, but we cannot guarantee a time that is convenient for every client in every time zone.

7. Enrolment and Application

7.1 Application-Based Programs (Academy and 1:1 Mentorship)

Enrolment in the Pineda Method Academy and 1:1 Mentorship Programs follows a structured two-stage process designed to ensure the program is the right fit for the applicant and that all purchasing decisions are fully informed:

Stage 1 — Goals Assessment Call (30 minutes): Prospective clients first complete a Goals Assessment Call with a member of our team. The purpose of this call is to understand the applicant’s current level, dance goals, and circumstances, and to assess whether the applicant meets the criteria to work with us. This is a qualification call, not a sales call. No pricing is discussed and no commitment is requested at this stage. Following the assessment, if we determine that the applicant is a suitable candidate, we will communicate which program we believe is the best fit for their goals.

Stage 2 — Sales Call: Applicants who are assessed as suitable and who wish to proceed are invited to a separate Sales Call. During this call, the recommended program is demonstrated in detail, including its structure, delivery, outcomes, and full pricing. The applicant has the opportunity to ask questions and to make a fully informed decision about whether to proceed. There is no obligation to purchase at any stage. Pricing is not disclosed prior to this call.

Point of Sale: If the applicant chooses to proceed following the Sales Call, a written quote confirming the program and agreed price is issued. Payment is only requested after the applicant has received and acknowledged this written confirmation. Prior to or at the time of payment, the applicant is required to sign a Client Agreement that incorporates these Terms and Conditions, the Refund Policy, and the specific terms of their enrolment. Enrolment is confirmed upon receipt of the signed Client Agreement and full payment or the first instalment of an agreed payment plan.

7.2 Self-Enrolment Programs (Skool and Circle)

The Skool Community and Circle Membership are available for direct purchase without an application process. Pricing for these programs is publicly listed. By completing a purchase, you confirm that you have read and agreed to these Terms and Conditions and our Refund Policy.

7.3 Right to Refuse

We reserve the right to refuse enrolment to any applicant at our sole discretion, including but not limited to cases where we determine the program is not the right fit for the applicant’s goals, experience level, or circumstances. A refusal does not give rise to any claim or entitlement.

8. Pricing, Payment, and Billing

8.5 Failed Payments

If a payment fails for any reason, we reserve the right to suspend your access to the Program until payment is resolved. We will attempt to contact you using the details on file. Continued failure to resolve a payment may result in termination of your enrolment and any obligations described in Section 9.

9. Payment Plans

Where a payment plan is offered and agreed, the following terms apply:

  • A payment plan is a binding agreement to pay the full program fee in instalments on the agreed schedule;
  • Each instalment will be automatically charged on the due date to your nominated payment method;
  • Cancelling, withdrawing from, or being suspended from the Program does not cancel payment plan obligations unless a valid refund is approved under our Refund Policy;
  • A late payment fee of USD $50 may be applied for instalments not received within 7 days of the due date;
  • Persistent non-payment may result in suspension of access, referral to debt collection, and/or legal action to recover outstanding amounts;
  • We reserve the right to accelerate all outstanding instalments and make them immediately due if you default on any instalment, initiate an unjustified chargeback, or breach these Terms.

10. Refunds and Cancellations

All refund and cancellation requests are governed by our Refund Policy, which is available at https://pinedamethod.com/refund-policy and is incorporated into these Terms by reference. By making a purchase, you agree to the terms of the Refund Policy.

In summary: our programs involve significant investment of time, expertise, and personalised attention. Refunds are available only in specific circumstances and within specific time windows as described in the Refund Policy. Nothing in these Terms excludes any statutory rights you may have under applicable consumer protection law.

11. Intellectual Property Rights

All Content on our Website and delivered through our Programs is the exclusive intellectual property of Pineda Method Pte. Ltd. and/or Oliver Pineda, unless otherwise stated. Our intellectual property assets represent the core commercial asset of the Company and form the foundation of our long-term software product development strategy. These assets include, without limitation:

  • The “Pineda Method” name, brand, logo, and all associated trademarks and trade dress;
  • The Pineda Method Development Framework, the 5-Phase Mastery System, and all proprietary methodologies, frameworks, assessment tools, progression models, and pedagogical approaches developed by Oliver Pineda;

  • All market research, instructional data, student performance insights, and related know-how generated through delivery of our Programs;
  • Website design, layout, graphics, and code;
  • All marketing materials, testimonials (with consent), and promotional content.

Nothing in these Terms grants you any right, title, or interest in our Intellectual Property beyond the limited licence described in Section 12.

12. Licence to Use Our Content

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, personal licence to access and use our Content solely for your own personal, non-commercial learning and development purposes.

This licence explicitly does not permit you to:

  • Copy, reproduce, distribute, share, publish, or transmit any Content to any third party;
  • Download, record, or screenshot any video content (except for offline viewing where explicitly permitted by our platform);
  • Use any Content in any commercial context, including but not limited to teaching, coaching, or creating derivative products;

  • Use any automated means (bots, scrapers, etc.) to access or harvest any Content;
  • Modify, translate, adapt, or create derivative works based on our Content.

Unauthorised use of our Intellectual Property may give rise to claims for breach of contract, copyright infringement, or other legal action, and we reserve all rights to pursue such claims.

13. Prohibited Uses

In addition to the restrictions in Section 12, you agree not to use our Website or Services to:

  • Violate any applicable local, national, or international law or regulation;
  • Engage in any fraudulent, deceptive, or misleading conduct;
  • Harass, abuse, intimidate, threaten, or discriminate against any person;
  • Post or transmit any content that is illegal, offensive, defamatory, obscene, or otherwise objectionable;

  • Impersonate Oliver Pineda, any Pineda Method staff member, or any other person;
  • Use our Services or Content to develop competing products or services;
  • Engage in any activity that brings disrepute to us or interferes with the experience of other clients.

14. Client Responsibilities and Obligations

You acknowledge and agree that your success in our Programs depends primarily on your own effort, commitment, and engagement. You accept responsibility for:

  • Attending scheduled sessions on time and prepared;
  • Completing assigned practice, exercises, and self-study between sessions;
  • Communicating openly and honestly with your coach regarding your progress and challenges;
  • Providing timely notice if you need to reschedule a session (at least 24 hours’ advance notice required);
  • Maintaining a respectful and constructive attitude within community spaces;
  • Taking responsibility for your physical wellbeing during any physical activity undertaken as part of the program;
  • Keeping your login credentials and program access secure and confidential.

Late cancellations (less than 24 hours’ notice) or no-shows for scheduled 1:1 sessions may result in forfeiture of that session. Repeated late cancellations or no-shows may result in suspension of your program without refund.

15. Disclaimers and Limitation of Liability

15.1 No Warranties

Our Website and Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability.

15.2 Limitation of Liability

To the fullest extent permitted by applicable law, Pineda Method Pte. Ltd., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising from or in connection with your use of our Services, regardless of whether we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or our Services shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.

15.3 Physical Activity Disclaimer

Dancing involves physical activity and carries inherent risks of physical injury. You acknowledge that you participate in any physical activity associated with our Programs at your own risk. We strongly recommend you consult a medical professional before beginning any new physical training program, particularly if you have any pre-existing medical conditions, injuries, or physical limitations. We accept no liability for any physical injury you may sustain in connection with participating in our Programs.

15.4 Exceptions for Consumer Law

Nothing in this clause excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law, including statutory guarantees under Singapore’s Consumer Protection (Fair Trading) Act (CPFTA), the Australian Consumer Law, or equivalent legislation applicable in your jurisdiction.

16. No Results Guarantee

While our Programs are designed to support meaningful improvement in dance ability, confidence, and musicality, we cannot and do not guarantee any specific outcomes or results. Individual results will vary based on factors including, but not limited to, prior experience, natural aptitude, frequency and quality of practice, level of engagement with program content, and individual commitment.

Any testimonials, case studies, or examples referenced on our Website or in our marketing reflect the genuine experiences of specific clients and are not a promise that you will achieve the same results.

Failure to achieve desired personal results, where such failure is not attributable to any fault on our part, does not constitute grounds for a refund or other remedy.

17. Testimonials and Marketing

By providing a testimonial, review, or success story, you grant us a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, publish, and distribute your name, likeness (if provided), and the content of your testimonial in our marketing materials, including on our website, social media, email communications, advertising, and other promotional contexts.

We will not use your testimonial in any manner that is materially misleading or that places you in a false light. You may withdraw consent for ongoing use of your testimonial at any time by contacting us in writing; however, we are not required to recall materials already published or distributed.

All testimonials used in our marketing reflect genuine client experiences. We do not fabricate, materially alter, or incentivise testimonials in a manner that would be misleading to prospective clients.

18. Community Standards and Code of Conduct

Our online communities (Skool, Circle, or any other platform we use) are spaces for respectful learning, growth, and peer support. All community members agree to adhere to the following Code of Conduct:

  • Respect: Treat all members, coaches, and staff with dignity and respect, regardless of ability level, background, or viewpoint.
  • Constructive engagement: Engage constructively. Critique ideas, not people.
  • No harassment: Harassment, bullying, hate speech, discrimination, or threatening behaviour in any form will not be tolerated.
  • No spam or self-promotion: Do not post unsolicited advertising, promotions, or links to competing services.
  • Confidentiality: Do not share other members’ personal information, stories, or content outside the community without their express consent.
  • Appropriate content: Do not post content that is sexually explicit, violent, defamatory, or otherwise inappropriate.
  • Legal compliance: Do not post content that infringes any third party’s intellectual property rights or violates any applicable law.

Violations of this Code of Conduct may result in warnings, temporary suspension, or permanent removal from the community and termination of your program, without refund, at our sole discretion.

19. Recording and Content Policy

All sessions — whether 1:1 or group — may be recorded by us for internal quality assurance, to make recordings available to you for review, or for use in creating program content or marketing materials (subject to your consent for marketing use). By participating in sessions, you consent to recording for internal purposes.

You may not record, screenshot, or otherwise capture any live session without our prior written consent. Unauthorised recordings are a breach of these Terms and may constitute a breach of applicable copyright, privacy, or surveillance laws.

Where session recordings are shared with you for your personal use, such recordings are covered by the licence in Section 12 and must not be shared, redistributed, or used for any commercial purpose.

20. Third-Party Platforms and Services

Our Programs are delivered in part through third-party platforms including but not limited to Skool, Circle, Zoom, Google Workspace, Instagram, and various payment processors. Your use of these platforms is subject to their respective terms of service and privacy policies, for which we are not responsible.

We are not responsible for any outages, errors, data losses, or policy changes by third-party platforms. Where a third-party platform discontinues a feature or service that we rely upon, we reserve the right to migrate to an alternative platform with reasonable notice to enrolled clients.

Links on our Website to third-party websites are provided for convenience only and do not constitute our endorsement of those sites or their content.

21. Availability and Technical Issues

We endeavour to make our Website and digital Programs available at all times but do not guarantee uninterrupted access. Our Services may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control. We are not liable for any loss or inconvenience arising from temporary unavailability.

You are responsible for maintaining a suitable device, software, and internet connection to access our Programs. We do not provide technical support for your personal device or internet connection.

If technical issues on our end result in a missed or unusable session, we will schedule a replacement session at no additional cost. We will not provide a refund for a single missed or disrupted session.

22. Termination and Suspension

22.1 Termination by Us

We reserve the right to suspend or terminate your access to our Services immediately and without refund if:

  • You breach any provision of these Terms;
  • You engage in conduct that we reasonably determine to be harmful, abusive, or inappropriate;
  • You fail to meet payment obligations and do not remedy the failure within 7 days of notice;
  • You initiate a chargeback that we determine to be unjustified;
  • You attempt to circumvent any security or access controls on our platforms;
  • We are legally required to do so.

Where termination is due to your breach, you remain liable for all outstanding payment obligations.

22.2 Termination by You

You may choose to stop participating in any Program at any time. However, early withdrawal does not entitle you to a refund except as set out in our Refund Policy, and payment plan obligations remain binding.

22.3 Effect of Termination

Upon termination, your access to all Program Content, community platforms, and sessions will cease immediately. Any Content you have downloaded for offline use must be deleted. Provisions of these Terms that by their nature should survive termination (including but not limited to Sections 11, 12, 15, 23, 25, 26, 27) shall continue to apply.

23. Confidentiality

In the course of your participation in our Programs, you may receive or have access to confidential and proprietary information belonging to us, including our methodologies, frameworks, business practices, and unpublished content. You agree to keep all such information strictly confidential and not to disclose it to any third party without our prior written consent.

Similarly, in group program settings, you may be privy to personal information shared by fellow clients. You agree to treat all personal information shared by other clients with the utmost discretion and to not disclose it outside the program community.

The confidentiality obligations in this section shall survive termination of your participation in our Programs.

24. Privacy

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is available at https://pinedamethod.com/privacy-policy and is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your personal information as described in the Privacy Policy.

25. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Subject to Section 26 (Dispute Resolution), you agree to submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any dispute arising out of or in connection with these Terms.

25.1 Singapore Consumer Protection

As a Singapore-incorporated entity, our primary consumer protection obligations are governed by Singapore’s Consumer Protection (Fair Trading) Act 2003 (CPFTA). Nothing in these Terms restricts any rights you may have under the CPFTA or other applicable Singapore legislation.

25.2 Australian Consumers

Notwithstanding the foregoing, if you are an Australian consumer, you retain all rights under the Australian Consumer Law (Competition and Consumer Act 2010, Cth, Schedule 2) and any other applicable Australian legislation. Nothing in these Terms limits or excludes those statutory rights.

25.3 EEA / UK Consumers

If you are a consumer resident in the EEA or United Kingdom, you may also be entitled to bring proceedings in the courts of your country of residence where mandatory consumer protection laws apply, and these Terms do not affect those rights.

26. Dispute Resolution

We are committed to resolving disputes fairly and efficiently. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our Services, the parties agree to follow this process:

  1. Informal Resolution: The complaining party must first contact the other party in writing, setting out the nature of the dispute and the remedy sought. The parties will make good-faith efforts to resolve the dispute informally within 30 days.
  2. Mediation: If informal resolution fails, the parties agree to attempt mediation administered by a mutually agreed mediator (or, failing agreement, a mediator appointed under the Singapore Mediation Centre rules) before commencing formal legal proceedings.
  3. Litigation: If mediation fails to resolve the dispute, either party may commence legal proceedings in the courts of Singapore (subject to Section 25).

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights.

27. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Pineda Method Pte. Ltd., Oliver Pineda, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to our Website or Services;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any third party’s rights, including intellectual property rights;
  • Any content you submit, post, or transmit through our platforms;
  • Any physical injury or damage you sustain in connection with your participation in our Programs.

28. Force Majeure

We shall not be liable for any delay or failure in performance of our obligations under these Terms that is caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, power failures, third-party platform failures, or acts of God (“Force Majeure Events”).

In the event of a Force Majeure Event, we will use reasonable efforts to notify affected clients and to resume normal service as soon as practicable. If a Force Majeure Event results in a significant disruption to your Program (e.g., inability to deliver sessions for more than 30 consecutive days), we will work with you to find a reasonable resolution, which may include rescheduling sessions, extending your program duration, or providing alternative delivery methods.

29. Entire Agreement and Severability

These Terms and Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Pineda Method Pte. Ltd. with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

30. Amendments

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our Website with an updated “Last Updated” date. For material changes, we will provide notice to active clients via email. Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms.

If you do not agree to any amended Terms, you must cease using our Services. For active program participants, the Terms in effect at the time of your purchase govern your existing contract, except where amended terms are required to comply with applicable law.
